Terms of Service

These Terms govern your access to and use of the Cesame platform, including without limitation the Cesame mobile application, the Cesame Studio creator space available at studio.cesame.live, the cesame.live website, and all features, content, and services made available therein (collectively, the "Services").

The terms "User", "you", or "your" refer to any natural person who accesses or interacts with the Services, whether as a Creator, a Fan, or both.

These Terms incorporate by reference our Privacy Policy, available at cesame.live/privacy. In the event of any conflict, mandatory provisions of applicable law shall prevail.

Use of the Services is strictly limited to persons aged eighteen (18) years or older, or the age of majority in your country of residence if higher.

By creating an Account or using the Services, you represent and warrant that the information you provide is accurate, complete, and up to date, including with respect to your identity and date of birth.

You further represent that your access to the Services has never been suspended or terminated for breach of these Terms or for any other reason attributable to your conduct.

Cesame reserves the right to refuse access to the Services, or to suspend or terminate any Account, where there are reasonable grounds to believe that a User is a minor or has provided inaccurate information.

Cesame operates a digital platform enabling Creators and Fans to connect, communicate, and, where applicable, agree to private paid Sessions, principally in the form of one-on-one video interactions.

Cesame acts as a technical intermediary and marketplace. Except for obligations expressly set forth in these Terms, Cesame is not an employer, agent, representative, or partner of Creators or Fans, and is not a party to arrangements entered into between them.

The Services do not constitute a dating, escort, sexual services, gambling, or public content broadcasting service. Cesame does not guarantee any commercial outcome, audience, or particular availability of any Creator or Fan.

For the purposes of these Terms, the following terms have the meanings set forth below:

• "Account": the personal space created by a User to access the Services.
• "Content": any material made available on or through the Services, including text, images, videos, messages, profiles, and associated metadata.
• "Creator": a User who offers Sessions and interacts with Fans through the Services, subject to acceptance by Cesame.
• "Fan": a User who discovers Creators, communicates with them, and, where applicable, accesses Sessions.
• "Services": all digital services operated by Cesame as described in Section 1.
• "Session": a private interaction between a Creator and a Fan, arranged through the Services and generally accessible after prior payment.
• "Studio": the Cesame Studio web interface intended for Creators.

Access to certain features of the Services may require the creation of an Account. You agree to provide accurate information and to keep it up to date.

You are solely responsible for maintaining the confidentiality of your credentials and for all activity conducted through your Account. You must promptly notify Cesame of any unauthorized use of which you become aware.

You may not create an Account on behalf of a third party without authorization, impersonate any person, use a misleading username, or transfer your Account to a third party without Cesame's prior written consent.

A User may use the Services as a Fan. Access as a Creator is subject to the specific conditions set forth in Section 6.

Unlike Fans, Creators cannot join the platform on a fully open basis. Access to the Creator side of the Services is subject to invitation and/or validation by Cesame, reflecting a deliberately curated community.

Cesame reserves the right, in its sole discretion, to accept, refuse, suspend, or withdraw any Creator, including after initial acceptance, particularly in the event of non-compliance with these Terms or misalignment with the spirit of the platform.

A Creator's presence in discovery spaces, featuring, or visibility does not constitute any vested right. Cesame may modify, restrict, or withdraw such visibility at any time.

When a Creator offers a Session, the Fan is generally required to pay the agreed amount before accessing it. Payment, cancellation, and access terms are specified in the Services interface and may evolve over time.

Creators set their pricing terms within the framework of the platform's rules. Cesame does not guarantee the conclusion, quality, duration, or outcome of any Session.

Except where mandatory law provides otherwise, amounts paid for a Session delivered or made accessible in accordance with applicable rules are non-refundable. Any applicable right of withdrawal or refund is expressly reserved.

Cesame does not act as a mandatory mediator of private disputes between Creators and Fans, subject to legal obligations applicable to Cesame.

Use of the Services may give rise to a commission charged by Cesame on transactions conducted through the platform. The applicable rate is communicated in commercial materials or the Services interface.

Fan payments and Creator payouts are processed by third-party payment service providers, including Stripe. Cesame is not a payment institution.

Creators are solely responsible for their tax, social, accounting, and regulatory obligations relating to income received through the Services, as well as for providing information required by payment providers.

In the event of a dispute, chargeback, or payment-related claim, Cesame may act in accordance with the rules of the relevant provider and applicable law.

You agree to use the Services fairly, respectfully, and in compliance with these Terms and applicable law.

Without limitation, the following is prohibited:

• harassing, threatening, intimidating, discriminating against, or harming the dignity of another User;
• publishing, transmitting, or facilitating any unlawful, defamatory, fraudulent, misleading Content, or Content that infringes third-party rights;
• exploiting, sexualizing, or endangering minors, or publishing any Content relating to child sexual exploitation;
• impersonating any person or collecting personal data of others without a legal basis;
• recording, distributing, or reproducing a Session or private exchange without the express consent of the persons concerned and in compliance with the law;
• attempting unauthorized access to Cesame's systems, disrupting the Services, or using unauthorized automated means;
• using the Services for spam, fraud, money laundering, or illegal activity.

You remain solely responsible for Content you publish, transmit, or make available through the Services.

Cesame has zero tolerance for objectionable content, including harassment, hate speech, threats, sexual exploitation, and illegal content. Abusive users may be immediately suspended or permanently removed from the platform.

In order to maintain a safe environment consistent with applicable standards, Cesame implements moderation measures combining automated tools and human review, particularly with respect to public or discovery-visible Content.

Users may report objectionable content and block abusive users through in-app tools. Blocking removes the blocked user's content from your feed instantly and notifies Cesame of the inappropriate conduct.

Cesame reviews reports of objectionable content within twenty-four (24) hours and, where appropriate, removes violating content and ejects offending users from the Services.

Cesame reserves the right to review, moderate, refuse, remove, restrict, or report any Content or Account that would violate these Terms, applicable distribution platform rules, or the law.

Private exchanges between Users are not systematically monitored. Cesame does not guarantee detection of all unlawful conduct or Content. Users remain responsible for their private exchanges.

By using the Services, you agree to receive electronic communications from Cesame, including messages relating to your Account, security, transactions, or operation of the Services.

Notifications may also be sent through the mobile application, subject to permissions you grant on your device. You may adjust certain preferences in your device or Account settings where available.

Subject to third-party rights, you retain ownership of Content you submit through the Services. You grant Cesame a worldwide, non-exclusive, transferable, sublicensable license to host, reproduce, display, adapt, moderate, and distribute such Content to the extent necessary to operate, promote, secure, and improve the Services, and to comply with legal obligations.

Trademarks, logos, interfaces, software, databases, and other elements comprising the Services remain the exclusive property of Cesame or its licensors. Nothing in these Terms grants you ownership of such elements.

If you believe that Content infringes your intellectual property rights, you may send a notification to Cesame Inc, Legal Department, at support@cesame.live, including the information required by applicable law, including French law on trust in the digital economy.

The processing of personal data in connection with the Services is described in our Privacy Policy, available at cesame.live/privacy.

You agree to comply with applicable data protection law, including the General Data Protection Regulation where you process other Users' data outside the features provided by the Services.

The Services rely on third-party providers, including for payment, hosting, real-time communications, and mobile application distribution. Your use of such services may be subject to those third parties' terms.

Cesame is not responsible for the acts, omissions, unavailability, or policies of third-party providers, to the extent permitted by law.

To the extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

Cesame does not provide legal, medical, financial, or professional advice. No information accessible through the Services should replace qualified professional consultation.

Cesame does not guarantee that the Services will be uninterrupted, error-free, or free of harmful content, nor that Creators will obtain any particular income, audience, or availability.

Mandatory consumer protection provisions remain applicable where required by law.

To the extent permitted by applicable law, Cesame, its officers, employees, affiliates, and providers shall not be liable for indirect, intangible damages, loss of profits, loss of data, loss of opportunity, or commercial prejudice resulting from use or inability to use the Services.

Where permitted by law, Cesame's aggregate liability in connection with the Services and these Terms is limited to the amount of commissions actually received by Cesame in respect of your use of the Services during the twelve (12) months preceding the event giving rise to the claim, or, failing that, one hundred euros (EUR 100).

Nothing in these Terms limits Cesame's liability for death or personal injury caused by negligence, fraud, wilful misconduct, or any other liability that cannot legally be excluded or limited.

You agree to indemnify and hold harmless Cesame, its officers, employees, and providers from any claim, loss, damage, penalty, cost, or expense, including reasonable attorneys' fees, arising from your breach of these Terms, your Content, your use of the Services, or infringement of third-party rights.

Without prejudice to Cesame's other rights, we may investigate any reported or detected conduct and take appropriate measures against any User, whether Creator or Fan.

Such measures may include, without limitation: issuing a warning, removing or restricting Content, limiting certain features, temporarily or permanently suspending the Account, withdrawing a Creator's visibility, or reporting to competent authorities where required by law.

You may stop using the Services at any time. Cesame may suspend or terminate your access to the Services, in whole or in part, with or without notice, particularly in the event of breach of these Terms or for security, compliance, or community interest reasons.

Provisions which by their nature should survive termination, including those relating to intellectual property, liability, indemnification, and governing law, shall continue in effect.

Cesame reserves the right to amend these Terms at any time. The date of last update will be indicated at the top of the document.

In the event of a material change, Cesame may notify you by any appropriate means. Continued use of the Services after the amendments take effect constitutes acceptance of the amended Terms, subject to mandatory rights you may have as a consumer.

These Terms are governed by French law.

Subject to mandatory consumer protection provisions applicable to consumers residing in another Member State of the European Union or in a country admitting equivalent mandatory rules, any dispute relating to their validity, interpretation, or performance shall fall within the exclusive jurisdiction of the courts of Paris, France.

In accordance with consumer law, consumers may also, where applicable, use consumer mediation or the European online dispute resolution platform.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in effect to the fullest extent permitted by law.

Cesame's failure to exercise any right under these Terms shall not constitute a waiver of that right.

You may not assign your rights or obligations under these Terms without Cesame's prior written consent. Cesame may assign all or part of these Terms in connection with a reorganization, merger, or transfer of business.

In the event of any conflict between language versions of these Terms, the French version shall prevail.
